Acutely Terms of Service

Welcome to Acutely. These Terms of Service ("Terms") govern your access to and use of the Acutely platform at acutely.health (the "Platform" or "Service"), operated by Acutely ("Acutely," "we," "us," or "our"). By creating an account or using the Platform, you agree to these Terms.
1. What Acutely Is
Acutely is a healthcare marketplace platform that connects patients with independent medical providers offering cash-pay, membership-based care. Acutely is a technology platform only. We do not practice medicine, provide medical advice, or employ the providers listed on the Platform. Each provider is an independent practitioner solely responsible for the clinical care they provide.
Membership through Acutely covers platform-based services offered by your chosen provider (e.g., messaging-based visits). In-office care, procedures, and services outside the scope of your provider's platform membership continue to be billed separately, including through insurance where applicable.
2. Eligibility
You must be at least 18 years old to create an account on Acutely. Providers must hold a valid, active medical license and required credentials in the state(s) in which they practice, and must complete Acutely's provider verification process prior to appearing in the provider directory.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information during registration and to keep it up to date.
4. Membership Fees and Payments
- Each provider independently sets their own annual membership fee.
- Acutely charges a flat 8% platform fee, inclusive of payment processing, on membership payments.
- Payments are processed through our third-party payment processor, Stripe. Acutely does not store your full payment card information.
- Membership fees are billed on a recurring basis as disclosed at checkout. Cancellation terms are set by your provider's Patient Membership Agreement, which you review and sign as part of enrollment.
5. Provider Independence
Providers on Acutely are independent practitioners, not employees or agents of Acutely. Acutely does not supervise, direct, or control the clinical judgment or medical care provided by any provider. Any dispute regarding the quality or nature of care received should be directed to your provider in accordance with your Provider-Patient Relationship Agreement.
6. Communications and SMS Consent
Program: Acutely Patient Communications — one-time verification passcodes, appointment and account notifications, and provider invitation links sent to patients and prospective patients of independent providers on the Acutely platform.
By providing your phone number, you consent to receive text messages from Acutely and/or your provider through the Platform. Message frequency varies based on your account activity and provider communications. Message and data rates may apply.
For help, reply HELP, or contact us at support@acutely.health. To opt out of SMS communications at any time, reply STOP.
7. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose
- Attempt to circumvent identity verification or account security measures
- Misrepresent your identity, credentials, or eligibility to use the Platform
- Interfere with the proper functioning of the Platform
8. Provider Agreements
Providers using the Platform separately agree to the Acutely Provider Platform Agreement, review the Patient Membership Agreement, and sign the Provider-Patient Relationship Agreement, each renewed annually. These agreements govern the specifics of the provider-patient relationship and are incorporated by reference into these Terms for platform-usage purposes.
9. Termination
We may suspend or terminate your access to the Platform if you violate these Terms, misuse the Service, or if required by law. You may close your account at any time by contacting your provider or Acutely support.
10. Disclaimers
The Platform is provided "as is" without warranties of any kind. Acutely does not guarantee the availability, accuracy, or outcomes of any provider's services. Acutely is not a substitute for emergency medical care — if you are experiencing a medical emergency, call 911 or go to the nearest emergency room.
11. Limitation of Liability
To the fullest extent permitted by law, Acutely shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform, or from the acts or omissions of any independent provider.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
